Terms of service

The rules for using Patchkin, in plain language. The part that matters most for teams: if you turn on governance, you must tell your people what is recorded.

Effective 14 October 2026 · Last updated 14 October 2026

1. Agreement

These terms are an agreement between Thoutam FZC (“Patchkin”) and the organization or person that creates an account or uses the service (“you”). If you use Patchkin for an organization, you confirm you have authority to bind it. If you do not agree, do not use the service. Your use is also subject to our Privacy policy.

2. The service

Patchkin lets you pair your own machines, run and watch AI coding agents from a web app, share standards across tools, and optionally record and enforce governance rules. The agents themselves, and the git hosts and pipelines you connect, belong to other companies and are subject to their own terms. Patchkin is not affiliated with them.

We may improve, change or retire features. We will give reasonable notice of changes that significantly reduce what you have paid for.

3. Accounts and organizations

  • Give accurate information and keep your sign-in details secure. You are responsible for activity under your account.
  • Organization owners and admins control the organization, its members, its machines and its settings, including whether governance is on.
  • You must be old enough to form a binding contract where you live, and at least 16.

4. Your responsibilities for your people and data

This matters most if you use governance:

  • You decide what is recorded about your people and repositories, and you are the controller of those records. You must have a lawful basis and must comply with the laws that apply to workplace monitoring where your people are.
  • You must tell the people affected what is recorded before you turn governance on. The product asks you to confirm this and shows people the notice. You must not confirm it unless it is true.
  • You are responsible for the content of the standards, notes and settings you enter, and for the commands agents run on your machines. Agents can change files and run commands, so use permission settings that suit you.
  • You are responsible for reviewing what AI agents produce before relying on it. Patchkin does not guarantee that AI output, or its flags of problems, is correct or complete.

5. Acceptable use

Do not: break the law or others’ rights; attack, probe or overload the service or other customers; reverse engineer it except where the law allows; use it to build a competing service from our non-public materials; share access outside your organization; use it to monitor people in ways the law or their reasonable expectations do not allow; or use it to run software or tasks you are not authorized to run on a machine. We may suspend access that puts the service or others at risk, and will tell you why where we can.

6. Your data

You keep all rights in your data (your code, files, notes, standards and records). You give us a limited right to host, process and transmit it only to provide the service to you. We do not use your code or terminal content to train AI models, because we do not collect them. For records your organization collects, the roles in our Privacy policy apply, and a data processing agreement is available to business customers on request at legal@thoutam.com.

7. Plans and payment

Features and limits depend on your plan. Plans and prices are agreed in writing or shown when you subscribe. Taxes such as VAT are extra. Once paid plans are offered, payments are processed by Stripe and PayPal. Fees are non-refundable except where the law requires, and we will give notice before a price change takes effect. If we offer a free or trial plan, we may change or end it with reasonable notice.

8. Our intellectual property

Patchkin, its software, design and documentation belong to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use the service and the program on your machines for your internal business purposes while you have an account. If you send us feedback, we may use it without obligation to you.

9. Availability and support

We work to keep the service available but do not promise uninterrupted or error-free operation. Your agents run on your machines, so they keep running if our service is unavailable; the web view returns when the connection does. Support is by email at support@patchkin.io. We do not commit to an uptime level.

10. Disclaimers

The service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. Nothing here excludes warranties that cannot lawfully be excluded.

11. Limits on liability

To the extent the law allows: (a) neither side is liable for indirect, incidental, special or consequential loss, or lost profits, revenue or data; and (b) each side’s total liability arising from the service is limited to the fees you paid us for the service in the 12 months before the event that gave rise to the claim. These limits do not apply to liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.

12. Indemnity

You will defend and compensate us against third-party claims arising from your data, your breach of these terms, or your failure to meet your responsibilities for your people and data above.

13. Ending the agreement

You can stop using the service and delete your organization at any time. We may suspend or end your access if you materially breach these terms and do not fix it after notice, or immediately if needed to protect the service or others. When the agreement ends, your right to use the service stops; remove the program from your machines (this also removes the git hooks it installed). We will delete or return your organization’s records as described in the Privacy policy.

14. Changes to these terms

We may update these terms. We will give account owners notice of material changes by email or in the web app before they take effect. If you keep using the service after the effective date, you accept the new terms; if you do not agree, you may stop and close your account.

15. Governing law and disputes

These terms are governed by the laws of the Emirate of Sharjah and the federal laws of the United Arab Emirates applicable there, and the courts of Sharjah have exclusive jurisdiction, except where mandatory local law gives you other rights.

16. General

These terms and the Privacy policy are the whole agreement about the service. If a part is unenforceable, the rest stays in effect. We may assign these terms in a merger or sale of the business; you may not assign them without our consent. Failing to enforce a right is not waiving it.
